1. Acceptance of Terms

By accessing or using CryptoForms ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Service.

CryptoForms, Inc. ("we," "our," or "us") reserves the right to update these Terms at any time. Continued use of the Service after changes constitutes acceptance of the new Terms.

2. Service Description

CryptoForms provides cryptocurrency tax and bookkeeping services, including:

• AI-powered transaction categorization (platform - launching Q1 2026)
• Manual crypto tax analysis and preparation services (available now)
• CPA partner program (in development)
• Early access waitlist for platform users

The Service is currently in "Early Access Shell" phase. Platform features are not yet available for public use.

3. Eligibility

You must be at least 18 years old to use the Service. By using the Service, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

4. Account Registration

4.1 Waitlist Signups

By joining our early access waitlist, you agree to receive:

• Platform launch notifications
• Product updates and feature announcements
• Promotional offers (you may opt out anytime)

4.2 Account Security

When the platform launches, you will be responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access

5. Manual Services Terms

5.1 Quote Requests

Quote requests are non-binding. We will provide a fixed-price quote within 2 business hours. Services begin only upon your written approval and payment.

5.2 Service Scope

Manual services include tax return preparation based on information you provide. We are not responsible for:

• Accuracy of data you provide
• Missing or incomplete transaction records
• IRS audits resulting from your actions or omissions

5.3 Professional Services Disclaimer

CryptoForms is not a law firm and does not provide legal advice. Our services are prepared by licensed CPAs but should not replace consultation with your personal tax advisor for complex situations.

6. Payment Terms

6.1 Manual Services

• Payment required upfront before work begins
• Accepted methods: Credit card, ACH (via Stripe)
• Prices are fixed at time of quote
• Rush services incur 50% additional fee

6.2 Platform Subscription (Future)

• Billed annually at launch
• Early access members receive lifetime 40% discount
• Automatic renewal unless canceled
• Pro-rata refunds not provided

6.3 Refund Policy

Manual Services: Refundable before work begins. After work starts, refunds are at our discretion based on work completed.

Platform Subscriptions: 30-day money-back guarantee from launch date.

7. Intellectual Property

7.1 Our IP

All content, features, and functionality of the Service are owned by CryptoForms and protected by intellectual property laws. You may not:

• Copy, modify, or create derivative works
• Reverse engineer or decompile the software
• Use our trademarks or branding without permission
• Scrape or data mine the Service

7.2 Your Data

You retain ownership of your transaction data and tax information. By using the Service, you grant us a limited license to process this data to provide services.

8. Prohibited Uses

You agree not to:

• Use the Service for any illegal purpose
• Transmit malicious code or viruses
• Attempt to gain unauthorized access to systems
• Impersonate others or provide false information
• Use the Service to promote tax evasion or fraud
• Share account credentials with third parties
• Use automated tools to access the Service

9. Disclaimers and Limitations of Liability

9.1 "As-Is" Basis

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT GUARANTEE THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

9.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CRYPTOFORMS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, DATA, OR USE.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

9.3 Tax Accuracy

While we strive for accuracy, tax laws are complex and subject to interpretation. You are ultimately responsible for the accuracy of your tax returns. We recommend review by a qualified tax professional for complex situations.

10. Indemnification

You agree to indemnify and hold harmless CryptoForms and its officers, directors, employees, and agents from any claims, damages, or expenses arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any law or third-party rights
• Inaccurate information you provide

11. Privacy and Data Security

Your use of the Service is subject to our Privacy Policy, which is incorporated into these Terms by reference. We implement:

• Bank-level encryption (AES-256)
• Read-only API access to exchanges
• SOC 2 Type II compliance (in progress)
• Regular security audits

However, no system is 100% secure. You use the Service at your own risk.

12. Termination

12.1 By You

You may terminate your account at any time by contacting us at support@cryptoforms.io. Prepaid fees are non-refundable except as stated in Section 6.3.

12.2 By Us

We may suspend or terminate your access if you violate these Terms or engage in harmful conduct. We will provide notice when possible.

13. Dispute Resolution

13.1 Informal Resolution

Before filing a claim, contact us at legal@cryptoforms.io to attempt informal resolution. We commit to good-faith negotiation for 30 days.

13.2 Binding Arbitration

Any disputes that cannot be resolved informally shall be settled by binding arbitration in accordance with the American Arbitration Association rules. Arbitration will be conducted in [Jurisdiction].

13.3 Class Action Waiver

YOU AGREE THAT DISPUTES WILL BE RESOLVED ON AN INDIVIDUAL BASIS. YOU WAIVE YOUR RIGHT TO PARTICIPATE IN CLASS ACTIONS OR CLASS-WIDE ARBITRATION.
